Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and IndigiCoder ("Company," "we," "our," or "us") governing your access to and use of the IndigiCoder platform, website at indigicoder.com, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We may update these Terms from time to time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Definitions

For the purposes of these Terms:

• "Platform" means the IndigiCoder web application and all associated services.
• "Credits" means the prepaid units used to access AI-powered features on the Platform.
• "Customer Data" means all data, content, code, and materials that you upload, create, or generate using the Service.
• "AI Services" means the artificial intelligence-powered code generation and assistance features provided through the Platform.
• "Subscription" means a recurring payment plan that provides access to the Service.
• "User Content" means any content you create, upload, or generate using the Service.
• "Generated Code" means code produced by AI Services based on your prompts and inputs.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Not share your account with others or allow unauthorized access
• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. License Grant

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

This license does not include the right to:

• Sublicense, sell, resell, or transfer the Service
• Modify or create derivative works of the Service
• Use the Service for any unlawful purpose
• Access the Service to build a competitive product

6. Restrictions

You agree not to:

• Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Redistribute: Resell, redistribute, or provide access to the Service to third parties without authorization
• Automate Access: Use bots, scrapers, or automated tools to access the Service without permission
• Circumvent Security: Attempt to bypass security measures or access restricted areas
• Misrepresent AI Content: Present AI-generated content as solely human-created without disclosure where such disclosure is required
• Overload Systems: Attempt to overload, disrupt, or impair the Service
• Violate Laws: Use the Service in violation of any applicable laws or regulations
• Infringe Rights: Infringe on the intellectual property rights of others

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, functionality, and all related intellectual property, is owned by IndigiCoder and protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or brand elements without prior written permission.

7.2 Your Content

You retain ownership of any original content you create and upload to the Service. By using the Service, you grant us a limited license to use, store, and process your content solely for the purpose of providing the Service.

7.3 Generated Code Ownership

Subject to applicable law and any third-party rights, you own the code generated by our AI Services based on your prompts and inputs. However, similar code may be generated for other users based on similar inputs.

8. AI-Generated Content

You acknowledge and agree that:

• AI-generated content may not be unique and similar content may be generated for other users
• We do not guarantee the accuracy, quality, or fitness for purpose of AI-generated content
• You are responsible for reviewing, testing, and validating all AI-generated code before use
• AI-generated content may inadvertently include or resemble copyrighted material, and you are responsible for ensuring compliance
• We may use your prompts and interactions to improve our AI Services, subject to our Privacy Policy

We recommend reviewing all AI-generated code for security vulnerabilities, bugs, and compliance with your requirements before deployment.

9. Billing & Payments

9.1 Subscription Plans

We offer various subscription plans with different features and pricing. Plan details are available on our pricing page. Subscriptions automatically renew unless cancelled before the renewal date.

9.2 Credits

Credits are used to access AI-powered features. You acknowledge that:

• Credits are prepaid and non-refundable
• Credits cannot be redeemed for cash
• Unused credits may expire as specified in your plan terms
• Credit balances are non-transferable between accounts

9.3 Payment Processing

All payments are processed securely through Stripe. You agree to provide accurate billing information and authorize us to charge your payment method for all fees incurred.

9.4 Refunds

Refunds are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us at indigicoder@gmail.com.

10. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

You agree that:

• You will not upload sensitive personal data (e.g., health information, financial account numbers) unless the Service is specifically designed for such use
• You are responsible for ensuring your use of the Service complies with applicable data protection laws
• We may use aggregated, anonymized data for analytics and service improvement

11. Prohibited Content

You may not use the Service to create, host, or distribute content that violates our Platform Rules. Prohibited content includes but is not limited to:

• Content that promotes violence or harm
• Content that exploits or endangers children
• Harassment, hate speech, or discriminatory content
• Illegal content or content promoting illegal activities
• Malware, phishing, or security threats
• Content that infringes intellectual property rights

Violations may result in immediate account suspension or termination without refund.

12. Termination

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your access to the Service will cease, and we will delete your data in accordance with our Privacy Policy.

12.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms or our Platform Rules
• You engage in fraudulent or illegal activity
• Your account poses a security risk
• Required by law or legal process

12.3 Effect of Termination

Upon termination, your license to use the Service terminates immediately. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, and limitation of liability.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated content will be accurate, complete, or suitable for your purposes
• The Service will meet your specific requirements
• Any defects will be corrected

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INDIGICODER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of:

• The amounts paid by you to us in the 12 months preceding the claim, or
• One hundred U.S. dollars ($100)

15. Indemnification

You agree to indemnify, defend, and hold harmless IndigiCoder and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) your User Content.

16. DMCA Compliance

We respect the intellectual property rights of others. If you believe that content on our Service infringes your copyright, please submit a DMCA takedown notice to indigicoder@gmail.com with:

• Your physical or electronic signature
• Identification of the copyrighted work
• Identification of the infringing material and its location
• Your contact information
• A statement of good faith belief that the use is not authorized
• A statement under penalty of perjury that the information is accurate

17. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on the Service
• Updating the "Last updated" date
• Sending email notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Delaware.

19. Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us at indigicoder@gmail.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for violations of intellectual property rights.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
